Upon delivery to HOSPITAL of the Valuation Request, the PARTIES agree to proceed in accordance with Sections 4.7(b) and (c) below.

Following delivery of a WCAS Put Valuation Request (or a Dignity Put Valuation Request, as the case may be), the Company shall instruct the Investment Bank selected pursuant to Section 9.3(e) to calculate the Company Enterprise Value and Put Price Per Interest in accordance with Section 9.3(e) hereof and deliver written notice of its determination thereof to SEM, WCAS and Dignity.
