Valuation Advisor definition

Valuation Advisor has the meaning set forth in Section 2.3(a).
Valuation Advisor means the valuation firm engaged in accordance with article 9.3(b) for the purpose of calculating the Preferred Shares Option Price.
Valuation Advisor means a Person engaged in the business of valuing the common stock of non-public companies that has made at least 10 such valuations within the two years prior to such Person's selection by the Company.

  • The Independent Valuation Advisor and its affiliates may from time to time in the future perform other commercial and financial advisory services for other funds managed by the Operating Manager and its Affiliates, so long as such other services do not adversely affect the independence of the Independent Valuation Advisor as certified in the applicable appraisal report.
