Validity Certificate definition

Validity Certificate means each certificate of validity executed by an Employee on the Closing Date in substantially the form of Exhibit B.
Validity Certificate means the validity certificates executed by such officers and directors of the Company as Buyer shall require, in Buyer’s sole discretion, which shall be substantially in the form of Exhibit “B” attached hereto.

  • Capitalized terms used in this Validity Certificate shall have the meanings given to them in the Credit Agreement, unless otherwise defined herein.

  • The Undersigned acknowledges and agrees with Buyer that, but for the execution and delivery of this Validity Certificate by the Undersigned, Buyer would not have entered into the Purchase Agreement or purchase the Debentures.

  • For the avoidance of doubt, personal liability shall be restricted to the provisions contained in the Validity Certificate.
