Valid Demand definition
Valid Demand means a demand issued by the Beneficiary in accordance with Clause 4.
Valid Demand means a valid demand made in terms of section 164 of the Companies Act, by an Alaris Shareholder, which Alaris Shareholder has in the making of such demand complied with the requirements of section 164(5)(a) and (c) of the Companies Act, in terms of which such Alaris Shareholder demands that Alaris pay such Alaris Shareholder the fair value for all of the Alaris Shares such Alaris Shareholder holds;

Valid Demand means a demand issued by the Beneficiary in accordance with Paragraph 4.2.
Valid Demand means a valid demand made in terms of sections 164(5) to (8) of the Companies Act, within the time period contemplated in section 164(7) of the Companies Act, by an RMB Holdings Shareholder, which RMB Holdings Shareholder has: (i) in the making of such demand complied with the requirements of sections 164(5)(a) and (c) of the Companies Act, in terms of which such RMB Holdings Shareholder demands that RMB Holdings pay such RMB Holdings Shareholder the fair value for all of the RMB Holdings Shares such RMB Holdings Shareholder holds; (ii) not withdrawn its demand made in terms of sections 164(5) to (8) of the Companies Act; and (iii) not allowed an offer made to it by RMB Holdings in terms of section 164(11) of the Companies Act to lapse.
Valid Demand means a valid demand made in terms of section 164(5) to (8) of the Companies Act, within the time period contemplated in section 164(7) of the Companies Act, by an OLX Shareholder, which OLX Shareholder has in the making of such demand complied with the requirements of section 164(5)(a) and (c) of the Companies Act, in terms of which such OLX Shareholder demands that OLX pay such OLX Shareholder the fair value for all of the OLX Shares such OLX Shareholder holds.
Valid Demand means a valid demand made by an Indluplace shareholder in terms of sections 164(5) to (8) of the Companies Act, within the time period contemplated in section 164(7) of the Companies Act and having complied with the requirements of sections 164(5)(a) and (c) of the Companies Act, and in terms of which such Indluplace shareholder demands that the Company pay such Indluplace shareholder the fair value for all of the Indluplace shares such Indluplace shareholder holds;
