Immediately prior to the execution and delivery of this Agreement, the UWM Termination Fee was paid by P▇▇▇▇▇, on behalf of the Company, to UWM by wire transfer of immediately available funds in accordance with the UWM Merger Agreement.
Parent and Merger Sub may pursue both a grant of specific performance in accordance with Section 9.11 and the monetary remedies set forth in Section 8.1(d) and this Section 8.3; provided, however, that under no circumstances shall Parent or Merger Sub be permitted or entitled to receive both a grant of specific performance that results in the Closing and any money damages, including all or any portion of the Company Termination Fee or UWM Termination Fee Refund.
