System Owner is responsible for the interconnection of the System to the Utility Grid System and is solely responsible for all line extensions, equipment, maintenance, and repairs associated with such interconnection in accordance with the terms and conditions of this Agreement, less a construction allowance to be paid by Purchaser in accordance with Purchaser’s Service Extension Policy on file with the New Mexico Public Regulation Commission.
System Owner shall be responsible to pay for any costs incurred as a result of the performance of system impact study required by third party, unless the Parties otherwise agree in writing, and System Owner shall be responsible for the costs associated with any Interconnection Agreements required to deliver the Electricity to the Utility Grid System.
Purchaser shall perform (or arrange for the performance of) all normal maintenance and upgrades to the Utility Grid System to maintain the Utility Grid System in good working order, and such other maintenance and upgrades as may be required by applicable laws, regulations, ordinances, and codes.
System Owner shall not be required to supply Output to Purchaser at any time System Owner reasonably believes the Utility Grid System to be unsafe, but in no event shall System Owner have any responsibility to inspect or approve the Utility Grid System.
Purchaser shall bear the costs associated with the restoration of the delivery of Output if an interruption of such supply of Electricity is caused by the actions or inactions of Purchaser or the condition of the Utility Grid System.
The Company shall only employ personnel (management, supervisory and otherwise) who are qualified and experienced for operating and monitoring the Complex and for coordinating operations of the Complex with the Utility Grid System.
