  • All Collections shall be applied as follows: (i) if such Collections relate to a SUBI Asset, the Servicer shall deposit such funds as set forth in the related SUBI Servicing Agreement Supplement and (ii) if such Collections relate to a Trust Asset other than a SUBI Asset, the Servicer shall pay such funds as directed by the UTI Certificateholder.

  • The Rochdale SUBI shall be dissolved (and notice and written direction thereof given by the Holder of the Rochdale SUBI Certificate to the Trustee and the Servicer) and its affairs wound up (by the Servicer in accordance with Section 8.02(a) of the Trust Agreement) upon the mutual written agreement of the Holder of the Rochdale SUBI Certificate and the UTI Certificateholder.

  • Each UTI Certificate shall be substantially in the form of Exhibit A hereto, with such appropriate insertions, omissions, substitutions and other variations as are required by this Master Trust Agreement, and may have such letters, numbers or other marks of identification and such legends and endorsements consistent with this Master Trust Agreement as may be directed in writing by the UTI Certificateholder.

  • Notwithstanding any other provision of the SUBI Trust Agreement to the contrary, the Trustee is hereby authorized and directed to issue the initial Rochdale SUBI Certificate to DR SPE, LLC, upon the written order of the UTI Certificateholder.

  • The Trustee is hereby authorized to and shall, on behalf of the Trust, execute and deliver the UTI Certificate to or upon the written order of the UTI Certificateholder.

  • All covenants, representations, warrantees, agreements, certifications and other obligations of the Grantor and/or the UTI Certificateholder in this Master Trust Agreement, any SUBI Supplement or any Transaction Document are covenants, representations, warrantees, agreements, certifications and obligations of the Grantor and/or the UTI Certificateholder alone and are not covenants, representations, warrantees, agreements, certifications or obligations of the Trustee or the Delaware Trustee.
