Each of USEP and USEP Offshore has the requisite limited partnership power and authority to enter into this Agreement and to perform its obligations hereunder, this Agreement has been duly authorized, executed and delivered by it, and this Agreement constitutes a legal, valid and binding obligation of it, enforceable in accordance with its terms.
