Usage Audit definition

Usage Audit means the audit (via Remote Access) of Customer's use and consumption levels of the Solution.

Examples of Usage Audit in a sentence

  • To the extent reasonably practicable, Appian will first attempt to verify Customer’s compliance remotely through the inspection of log files or access to other files, documents, or data, prior to conducting a Usage Audit by visiting Customer’s facilities.

  • Customer shall comply with all reasonable requests made during a Usage Audit, including by making its personnel available to answer questions and providing copies of the relevant records, provided that Appian shall use commercially reasonable efforts not to interrupt Customer’s authorised use of the Appian Software or Customer’s normal business operations.

  • If a Usage Audit results in a finding that Customer has breached this Agreement or that Customer’s use of the Appian Software exceeds the permitted use by more than 5%, Customer shall pay Appian’s costs to perform the Usage Audit.

  • Appian agrees to comply with any generally applicable regulations and procedures governing access to Customer’s facility where the information Appian seeks in connection with a Usage Audit is kept, subject to Customer providing Appian advance written notice of the same and provided that any conflict between such regulations and procedures and the terms of this Agreement shall be settled in favour of this Agreement.

  • Appian agrees to comply with any generally applicable regulations and procedures governing access to Customer’s facility where the information Appian seeks in connection with a Usage Audit is kept, subject to Customer providing Appian advance notice of the same, in writing, and provided that any conflict between such regulations and procedures and the terms of this Agreement shall be settled in favor of this Agreement.

  • If a Usage Audit results in a finding that Customer has breached this Agreement or that Customer’s use of the Appian Software exceeds the permitted use by more than 5%, Customer shall pay Appian’s actual costs to perform the Usage Audit.

  • AI21 (or a third party it reasonably designates) shall, from time to time, be entitled to audit Customer's use of the Service (a "Usage Audit"), and Customer shall facilitate such Usage Audit by providing AI21 with all access (including without limitation VPN access) reasonably requested by AI21 (such as, for the purpose of calculating any Fees for overages).

  • Company (or a third party it reasonably designates) shall, from time to time, be entitled to audit Customer’s deployment and use of the Platform (a “Usage Audit“), and Customer shall facilitate such Usage Audit by providing Company with all access reasonably requested by Company (such as, for the purpose of calculating any Fees for overages).

  • Customer will pay the Software license fees stated in the Purchase Order ("License Fees"), and in accordance with its payment terms; provided, however, that if a Usage Audit reveals a usage level above that permitted in the Purchase Order, the License Fees will be increased according to Aqua's then-current price list (and as otherwise specified in the Purchase Order for such excessive use).

  • Compliance Audit means the procedure (in a form advised by the GLA from time to time) by which an auditor independent of the Grant Recipient certifies (at the Grant Recipient's cost) whether the Named Projects developed or Rehabilitated pursuant to this Agreement satisfy the GLA's procedural compliance requirements (as described in the Affordable Housing Capital Funding Guide);

  • qualified auditor means a person who is qualified to be appointed as an auditor under section 198;
