In consideration of the opportunity to participate in the Activity, Participant hereby releases and forever discharges USAG from any and all losses, liabilities, claims, obligations, costs, damages, and demands of whatever kind or nature, known or unknown, either in law or in equity, which arise or may hereafter arise from or are in any way connected with the Activity.
Participant understands that this Agreement discharges USAG from, among other things, any and all losses, liabilities, claims, obligations, costs, damages or demands that Participant may have against USAG with respect to any bodily injury, personal injury, disability, death, illness, property loss, or property damage that may result from participation in the Activity.
Participant agrees to, at all times during the Activity, fully comply with the policies and procedures of USAG available on USAG’s website, as such policies may be amended, supplemented or otherwise modified from time to time by USAG in its sole discretion.
Participant agrees to defend, indemnify, and hold harmless USAG (as defined above) from any and all losses, liabilities, claims, obligations, costs, damages and causes of action, known and unknown, or proceedings of any nature (including attorneys’ fees) that may arise as a result of any and all injury, disability, death, illness, loss or damage to Participant’s person or property that may result from participation in the Activity, whether arising from negligence of USAG or otherwise.

USAG has full power and authority to execute and deliver this Agreement and the other agreements required to be executed and delivered hereunder and to carry out the transactions contemplated hereby and USAG has taken all requisite corporate action to authorize the execution, delivery and performance.
At the closing date, in accordance with the provisions of this agreement and applicable law, WSN Shareholders shall transfer and USAG shall acquire 2,665,000 Shares of WSN Common Stock, which constitutes all of the WSN Common Stock owned by the WSN Shareholders" (the "Purchased Shares") herein.
