APPENDIX D Grants to Employees Resident in the United States (US Options) -------------------------------------------------------------- Options granted to Employees who are resident in the United States shall be granted under the rules in this Appendix.
Such Options shall be designated "US Options" in the applicable Option Agreement.
In Focus shall file a registration statement on Form S-8 for the shares of In Focus Common Stock issuable with respect to the assumed Proxima U.S. Options no later than ten (10) days after the Effective Time, to the extent the shares of In Focus Common Stock issuable upon exercise of such options qualify for registration on Form S-8.

If any officer, director or shareholder of the Company is awarded U.S. Options and therefore becomes subject to Section 16 of the U.S. Securities Exchange Act 1934, as amended (the “Exchange Act”), the Company shall take all appropriate action to ensure that such awards under the U.S. Appendix are exempt from Section 16b under the Exchange Act.
With respect to holders of U.S. Options, such payments (i) shall not be subject to any withholding or deduction of Israeli Tax, so long as such holders of U.S. Options provide the Buyer prior to each payment with a Valid Declaration, (ii) shall be subject to withholding and deduction for applicable United States Taxes, and (iii) shall be made through the payroll processing service or system of Seller or one of Seller’s Affiliates.
