US GAAP Conversion definition

US GAAP Conversion means the conversion of financial information (including the Audited Accounts) and other information of the Target Group to U.S. GAAP and/or other reporting requirements and laws (including the Securities and Exchange Commission, etc.) of the United States of America, as designated by the Purchaser; 2.1.151 "U.S. Securities Act" means the U.S. Securities Act of 1933, as amended;
US GAAP Conversion has the meaning set forth in Section 6.06(a). “US GAAP Conversion Fees” has the meaning set forth in Section 12.02. 11.02

Related to US GAAP Conversion

  • Interest Conversion Shares shall have the meaning set forth in Section 2(a).

  • Mandatory Conversion shall have the meaning set forth in Section 6.

  • Mandatory Conversion Date has the meaning set forth in Section 7(a).

  • Interest Conversion Price means, with respect to any Interest Date, that price which shall be computed as 100.0% of the arithmetic average of the Weighted Average Price of the Common Stock on each of the ten (10) consecutive Trading Days immediately preceding the applicable Interest Date (each, an “Interest Measuring Period”). All such determinations to be appropriately adjusted for any stock split, stock dividend, stock combination or other similar transaction during such period.

  • Forced Conversion has the meaning set forth in Section 4.05(c) hereof.
