US Financial Statement means combined balance sheets and combined statements of income and cash flows of the Business and the New Zealand Business, which:
US Financial Statement is defined in Section 2.9(a). Other capitalized terms defined elsewhere in this Agreement and not defined in this Section 1.1 shall have the meanings assigned to such terms in this Agreement.
