Prior to the Closing, without the prior written consent of UQF, which may be withheld for any reason, no Buyer Party shall contact any suppliers to, or customers of, any Company or the Business; provided, that this shall not limit any Buyer Party from any contact with any of the foregoing unrelated to the transactions contemplated by this Agreement.
Each Company may assign its rights under this license, without expanding the scope of the license, to a successor in connection with a merger, sale of all or substantially all of its assets, or sale or other divestiture of any of the current or future Products or associated trademarks and such Company shall give UQF written notice of any such assignment within 30 days after such assignment.

This Agreement, the other Transaction Documents and the NDA contain the entire agreement and understanding between the Parties with respect to the subject matter hereof and thereof and supersede all prior agreements and understandings, whether written or oral, relating to such subject matter in any way (including the letter of intent dated December 14, 2023 between Buyer Guarantor and UQF with respect to the transactions contemplated hereby).
