Upsize definition

Upsize shall have the meaning given to such term in Section 2.18(a) hereof.
Upsize means with respect to any Company GL Asset or its Ground Lease, an agreement or other arrangement that: (i) is entered into after the Origination Date thereof; (ii) is not required by the terms of the applicable Ground Lease as Originally in Effect; and (iii) provides for an increase in the amount of rent or other additional amounts payable by the Lessee under the applicable Ground Lease that the Lessee was not previously required to pay (collectively, “Upsize Rent”) for any reason including the Lessor paying or agreeing to pay additional funds or consideration, granting a consent, waiving any right or modifying the terms of its Ground Lease.
Upsize has the meaning given to it in Clause 2.2 (Upsize Option).

Examples of Upsize in a sentence

  • The Investor shall be entitled to exercise the Upsize Option by delivering a new Exercise Notice to the Company.

  • No Lender shall have any obligation, express or implied, to offer to provide any Upsize Incremental Commitments.

  • Each tranche of Upsize Incremental Commitments shall be in an aggregate principal amount that is not less than $10,000,000; provided that such amount may be less than $10,000,000 if such amount represents all remaining availability under the limit set forth in the next sentence.

  • If there is a new borrowing of Tranche A Revolving Loans on the effective date of any Upsize Incremental Amendment, the Tranche A Revolving Lenders after giving effect to such Incremental Amendment shall make such Tranche A Revolving Loans in accordance with Section 2.1.

  • Each Upsize Option shall be in an amount not less than $50,000,000.

  • Incremental Commitments and Incremental Loans may be made by any existing Lender (it being understood that no existing Lender will have an obligation to make a portion of any Incremental Commitment or Incremental Loan) or by any Additional Lender that is an Eligible Transferee reasonably acceptable to the Agent and, in the case of any Upsize Incremental Commitments, each Issuing Bank (each such consent not to be unreasonably withheld, delayed or conditioned).

  • Each Upsize Option in an amount greater than $50,000,000 shall be in increments of $50,000,000.

  • If at the end of such ten (10) day period not all of the Upsize Amount has been subscribed, then the Upsize Amount shall be reduced to the amount subscribed, and the reduced Upsize Amount shall take effect from the Upsize Trigger Date.

  • Following each Upsize Trigger Date, the participating Lenders agree to make their Commitments in the Maximum Amount as increased by the relevant Upsize Amount available to the Borrowers.

  • In the case of any increase in the Maximum Amount in accordance with Clause 2.1.2, the Commitment of each Lender will be in accordance with the revised Schedule 1 circulated by the Agent pursuant to Clause 2.1.2 at or about the relevant Upsize Trigger Date.

  • Increase Amount is defined in Section 2.3(a).

  • Commitment Increase Effective Date has the meaning set forth in Section 2.02(b).

  • Tranche C means the credit facility provided pursuant to Section 2.1 to or for the benefit of the Company by the Banks with a Tranche C Commitment, which such facility shall consist of Loans (and participations in Swingline Loans) in the currencies referenced under the heading “Tranche C” on Schedule 1.1 and shall be in the maximum aggregate amount of the Tranche C Commitments of such Banks, as adjusted from time to time pursuant to the terms hereof.

  • Annual increase means, initially, fifty-nine cents per month

  • Increase Date has the meaning specified in Section 2.18(a).
