FURTHERMORE, AS MORE FULLY SET FORTH IN THE MEMBERS AGREEMENT, CERTAIN ACTION BY THE CORPORATION MAY REQUIRE THE AFFIRMATIVE VOTE OF A CERTAIN NUMBER OF MEMBERS OF THE BOARD OF DIRECTORS AND/OR A CERTAIN NUMBER OF MEMBERS OF THE BOARD OF DIRECTORS THAT HAVE BEEN APPOINTED BY UHC, GHS OR UPH, AS THE CASE MAY BE.

  • The Independent Directors and the UPH Directors may be entitled to receive reasonable compensation for services in their capacity as members of the Board of Directors and any committee thereof as may be determined by the other members of the Board of Directors.
