Upfront Consideration Amount definition
Upfront Consideration Amount means the sum of (i) $6,000,000, less (ii) the total of the Preferred Dividend Amounts as set forth on Schedule 1 attached hereto, more or less ( as applicable) (iii) the Upfront Adjustment Amount (per the Closing Statement for this purpose), less (iv) the Hold-Back Amount.
Upfront Consideration Amount means $530,000,000.
Upfront Consideration Amount means the Upfront Cash Consideration Amount plus the Upfront Stock Consideration Amount.
