More Definitions of Updated Interim Financial Statements

Updated Interim Financial Statements means unaudited condensed consolidated financial statements of the Transferred Subsidiary in respect of the fiscal quarter ended September 30, 2015, prepared in accordance with GAAP, which shall be comprised of (i) a condensed consolidated statement of operations (or a condensed consolidated statement of operations and comprehensive income) and a condensed consolidated statement of cash flows for the nine-month periods ended September 30, 2015 and September 30, 2014 and (ii) a condensed consolidated balance sheet as of September 30, 2015 (which shall have been reviewed by the independent auditors for the Seller Parties or the Transferred Subsidiary as provided in the procedures specified by the American Institute of Certified Public Accountants in AU-C Section 930).
