Until Lessee has fully complied with the requirements of Section 10(a) above, Lessee's rent payment obligation and all other obligations under this Agreement shall continue from month to month notwithstanding any expiration or termination of the lease term. Lessee agrees to make a diligent effort to procure any missing service manuals, blue prints, process flow diagrams, operating manuals, inventory and maintenance records. Lessee shall make the Equipment available for on-site operational inspections by potential purchasers at least one hundred twenty (120) days prior to and continuing up to lease termination.
Until Lessee has been fully reimbursed for the Reimbursement Amount; provided, however, that in the case of any payment due from Lessee which is distributable under the terms of the Trust Indenture, Lessee's right of offset shall be limited to amounts distributable to Lessor thereunder. No such offset or aggregate combined effect of separate offsets shall reduce the amount of any installment of Basic Rent to an amount insufficient, together with the Excess Amount and all other amounts payable simultaneously by Lessee, to pay in full the payments then required to be made on account of the principal of and interest on (and premium, if any, due with respect to) the Secured Certificates then outstanding.
