Unsubscribed Shares means the Rights Offering Shares that have not been duly purchased by the Rights Offering Participants in accordance with the Rights Offering Procedures and the Plan.
Submitted Amount has the meaning set forth in Section 2.05(a)(v)(C)(1).
Undersubscription Notice means written notice from an Investor notifying the Company and the selling Key Holder that such Investor intends to exercise its option to purchase all or any portion of the Transfer Stock not purchased pursuant to the Right of First Refusal or the Secondary Refusal Right.
Requesting Investor has the meaning set forth in Section 7.5 of the Indenture.
Conditional Incremental Auction means an Incremental Auction conducted for a Delivery Year if and when necessary to secure commitments of additional capacity to address reliability criteria violations arising from the delay in a Backbone Transmission upgrade that was modeled in the Base Residual Auction for such Delivery Year.
Purchase Request or "purchase requisition" means that document whereby a using
Incremental Loan Request has the meaning set forth in Section 2.14(a).
Commitment Increase Notice has the meaning assigned to such term in Section 2.19.
Responsive Bidder or Offeror means a person who submits a bid or proposal which conforms in all material respects to the invitation for bids or request for proposals.
Loan Request means a letter in substantially the form of Exhibit A hereto executed and delivered by the Borrower to the Administrative Agent and the Lenders pursuant to Section 2.02(a).
Submitted Bid has the meaning specified in Section 11.10(d)(i) below.
Bona Fide Request (BFR) means the process described in Attachment 08 – Bona Fide Request (BFR).
Bona Fide Request (BFR) is the process described in the applicable Appendix UNE.
Commitment Increase has the meaning specified in Section 2.18(a).
Discount Range Prepayment Offer means the written offer by a Lender, substantially in the form of Exhibit K, submitted in response to an invitation to submit offers following the Auction Agent’s receipt of a Discount Range Prepayment Notice.
Shelf Takedown Request shall have the meaning set forth in Section 3.2.5(a).
Increment Offer means a type of Virtual Transaction that is an offer to sell energy at a specified location in the Day-ahead Energy Market. A cleared Increment Offer results in scheduled generation at the specified location in the Day-ahead Energy Market.
Committed Loan Notice means a notice of (a) a Committed Borrowing, (b) a conversion of Committed Loans from one Type to the other, or (c) a continuation of Eurodollar Rate Loans, pursuant to Section 2.02(a), which, if in writing, shall be substantially in the form of Exhibit A.
Competitive Bid Accept/Reject Letter means a notification made by a Borrower pursuant to Section 2.03(d) in the form of Exhibit A-4.
Participating Investor any Participating Account, Participating Insurance Company or Participating Plan, including the Account and the Company.
Takedown Requesting Holder shall have the meaning given in subsection 2.3.3.
Notice of Revolving Credit Borrowing has the meaning specified in Section 2.02(a).
Borrowing Notice is defined in Section 2.8.
Maximum Offering Size has the meaning set forth in Section 2(d);
Piggyback Request has the meaning set forth in Section 2(b).
Minimum Offering Notice means a written notification, signed by Broker, pursuant to which the Broker shall represent (1) that subscriptions for the Minimum Offering have been received, (2) that, to the best of Broker’s knowledge after due inquiry and review of its records, Cash Investment Instruments in full payment for that number of Shares equal to or greater than the Minimum Offering have been received, deposited with and collected by NCPS, (3) and that such subscriptions have not been withdrawn, rejected or otherwise terminated, and (4) that the Subscribers have no statutory or regulatory rights of rescission without cause or all such rights have expired.
