UNREALIZED. BOOK GAIN OR LOSS. "Unrealized Book Gain or Loss" with respect to any Palace property shall mean the excess (or deficit) of (a) the fair market value of such property (as agreed to in writing by the Members taking section 7701(g) of the Code into account (i.e., such value shall not be agreed to be less than the amount of Nonrecourse Liabilities to which such property is subject)), over (b) the Book Basis of such property.
