Unit Participation as used herein shall mean the sum of the Tract Participations as shown by Tracts for each Working Interest Owner in Exhibit “C” to the Unit Agreement.

Unit Participation is defined as the sum of the percentages obtained by multiplying the Working Interest of a Working Interest Owner in each Tract having Tract Participation by the Tract Participation of such Tract.

• Once vested in accordance with Section 3, each Formation Unit is intended to provide the Grantee with the opportunity to share in the appreciation of the value of a Share in excess of the Formation Unit Participation Threshold set forth on Schedule A based on the Formation Unit Conversion Factor and other terms set forth in the Partnership Agreement.

• On the terms and conditions set forth below, as well as the terms and conditions of the Share Plan and subject to adjustment as provided in Section 7 hereof, the Company hereby grants to the Employee an aggregate of such number of AO LTIP Units as is set forth on Schedule A having an AO LTIP Unit Participation Threshold as is set forth on Schedule A (the “Award AO LTIP Units”).

• The Company is not required but shall have the option to execute Non-Bargaining Unit Participation Agreements for participation in the defined benefit and contribution fund, holiday fund and vacation fund on behalf of all regular non-bargaining unit full-time employees of the Company.

• This Restricted Stock Unit Participation Agreement (the “Agreement”) is dated as of this day of , 20 and sets forth the terms and conditions of the Award described below made by ▇▇▇▇▇▇▇▇ & Struggles International, Inc.

• Each Working Interest Owner shall be credited with the value, as determined in accordance with Section 10.2 above, of its interest in all personal property taken over by the Unit Operator under Section 10.1.2 and charged with an amount equal to that obtained by multiplying the total value of all such personal property taken over by Unit Operator under Section 10.1.2 by such Working Interest Owner’s Unit Participation, as shown in Phase I of Exhibit “D”.
