Unit Ownership Ledger setting forth the name of each Member, the number of each class of Units held of record by such Member, the amount of the Capital Contributions made by such Member with respect to each class of Units, and any other information deemed relevant by the Board. Absent manifest error, the Unit Ownership Ledger shall be the conclusive record of the information set forth thereon. The Board shall amend the Unit Ownership Ledger to reflect any issuance, sale, transfer, forfeiture or cancelation of Units, or any applicable modification to any other information set forth thereon, which amendment shall not require the consent or approval of any Person other than the Board. Any reference in this Agreement to the Unit Ownership Ledger shall be deemed a reference to the Unit Ownership Ledger as amended and updated at such time.

  • Contemporaneous with the execution and effectiveness of this Agreement, all of the partnership interests in the Partnership that were issued and outstanding and held by the Partners immediately prior to the effectiveness of this Agreement are hereby converted into the Series A Units as set forth on the Unit Ownership Ledger.
