Unit Offer definition

Unit Offer means the offer by HCo to purchase all of the issued and outstanding Units made pursuant and subject to the terms of this Agreement;
Unit Offer has the meaning set forth in Section 3.5.1(ii).
Unit Offer has the meaning set forth in Section 13(b)(iii).

  • Nothing in this Agreement shall alter, limit, or void the respective rights and obligations of the parties with regard to any grant of incentive units to Executive under any Pluralsight Holdings, LLC Incentive Unit Offer Letter (the “Incentive Unit Offer Letter”).

  • The Company hereby awards to the Director the number of restricted stock units (the “Restricted Stock Units”) set forth in the Restricted Stock Unit Offer Letter (the “Offer”) under the column titled “Quantity Granted.” The Restricted Stock Units granted under this Agreement are units that will be reflected in a book account maintained by the Company until they become vested or have been forfeited.

  • If, upon the expiration of the Unit Offer Period, the Unit Offerees elect to not exercise the right of first offer with respect to all of the Subject Units, the Offering Member may sell all, but not less than all, of such Subject Units to a third party for not less than ninety-five percent (95%) of the purchase price per Class A Unit contained in such Unit Offer.

  • The Purchasers hereby offer to purchase ALL Units at a purchase price of $255 per Unit ("Offer Price"), in cash, without interest, upon the terms and subject to the conditions set forth in the Offer.

  • The Company shall make such New Unit Offer by providing each holder of Units with written notice (the “New Unit Notice”) setting forth the rights of such New Units and the terms and conditions of such sale of New Units (including the purchase price therefor).

  • Market/Offer Price means the highest of (i) the price per share of Common Stock at which a tender or exchange offer therefor has been made, (ii) the price per share of Common Stock to be paid by any third party pursuant to an agreement with Issuer, (iii) the highest closing price for shares of Common Stock within the six-month period immediately preceding the date the Holder gives notice of the required repurchase of this Option or the Owner gives notice of the required repurchase of Option Shares, as the case may be, or (iv) in the event of a sale of all or any substantial part of Issuer's assets or deposits, the sum of the net price paid in such sale for such assets or deposits and the current market value of the remaining net assets of Issuer as determined by a nationally recognized investment banking firm selected by the Holder or the Owner, as the case may be, and reasonably acceptable to Issuer, divided by the number of shares of Common Stock of Issuer outstanding at the time of such sale. In determining the market/offer price, the value of consideration other than cash shall be determined by a nationally recognized investment banking firm selected by the Holder or Owner, as the case may be, and reasonably acceptable to Issuer.

  • Initial Offer Price means the initial price payable for a Share as specified in the relevant Supplement for each Fund.

  • Initial Offer means the initial offer of Participating Shares in a Fund as set out in the applicable Supplement;

  • Purchase Offer shall have the meaning assigned to such term in Section 2.25(a).

  • Increment Offer means a type of Virtual Transaction that is an offer to sell energy at a specified location in the Day-ahead Energy Market. A cleared Increment Offer results in scheduled generation at the specified location in the Day-ahead Energy Market.
