Succession Time means, for any Appointment, (a) the Effective Time, if all Authorizations for such Appointment have been received as of that time or (b) if any Authorization for such Appointment has not been received as of the Effective Time, the time that all Authorizations for such Appointment have been received.
Discussion Time shall have the meaning ascribed to such term in Section 3.2(f).
Resolution Time means 1:00 p.m. New York time on the Local Business Day following the date on which the notice of the dispute is given under Paragraph 5.
Separation Time means the close of business on the tenth Trading Day after the earlier of:
Valuation Time means the close of business in the city of the Valuation Agent on the Local Business Day before the Valuation Date or date of calculation, as applicable, provided that the calculations of Value and Exposure will be made as of approximately the same time on the same date.
Termination Time means the time at which the right to exercise Rights shall terminate pursuant to Section 5.1;
Expiration Time has the meaning set forth in Section 3.
Execution Time means the date and time that this Agreement is executed and delivered by the parties hereto.
Calculation Time means 11:59 p.m. on the day prior to the Closing Date.
Down time means the time period when specified services with specified technical and service standards are not available to user(s).
Distribution Time means the time at which the Distribution is effective on the Distribution Date.
Transformation time means the time difference between a change of concentration or flow (t0) at the reference point and a system response of 50 per cent of the final reading (t50).
Scan time means the period of time between the beginning and end of x-ray transmission data accumulation for a single scan.
Merger Date means the closing date of a Merger Event or, where a closing date cannot be determined under the local law applicable to such Merger Event, such other date as determined by the Calculation Agent.
Notification Time means 11:00 a.m., New York time, on a Local Business Day.
Determination Time in relation to a Distribution Date means on or about 11.00am Sydney time 1 Business Day prior to that Distribution Date.
COMPLETION TIME means the period by ‘date/month’ specified in the ‘Letter of Intent/Award’ or date mutually agreed upon for handing over of the intended scope of work, the erected equipment/plant which are found acceptable by the Engineer, being of required standard and conforming to the specifications of the Contract.
Up time means the time period when specified services with specified technical and service standards are available to user(s)
Merger Closing Date the Closing Date (as defined in the Merger Agreement).
Offer Closing Date has the meaning set forth in Section 1.01(f).
Scheduled operation time means the scheduled operating hours of the System for the month. All planned downtime on the system would be deducted from the total operation time for the month to give the scheduled operation time.
Exchange Time means the time at which the right to exercise the Rights shall terminate pursuant to Section 3.1(c) hereof.
Transfer Time has the meaning set forth in Section 4.3(a).
non-business day means Saturday, Sunday and any other day that is a holiday as defined in the Interpretation Act (Canada);
Acquisition Date With respect to any REO Property, the first day on which such REO Property is considered to be acquired by the Trust Fund within the meaning of Treasury Regulations Section 1.856-6(b)(1), which is the first day on which the Trust Fund is treated as the owner of such REO Property for federal income tax purposes.
Near Real Time means that Qwest's OSS electronically receives a transaction from CLEC, automatically processes that transaction, returns the response to that transaction to CLEC in an automatic event driven manner (without manual intervention) via the interface for the OSS function in question. Except for the time it takes to send and receive the transaction between Qwest's and CLEC's OSS application, the processing time for Qwest's representatives should be the same as the processing time for CLEC's representatives. Current benchmarks using TCIF 98-006 averages between two (2) and four (4) seconds for the connection and an average transaction transmittal. The specific agreed metrics for Near Real Time transaction processing will be contained in the Performance Indicator Definitions (PIDs), where applicable. "Network Element" is a facility or equipment used in the provision of Telecommunications Service. It also includes features, functions, and capabilities that are provided by means of such facility or equipment, including subscriber numbers, databases, signaling systems, and information sufficient for Billing and collection or used in the transmission, routing, or other provision of a Telecommunications Service.
