Unfulfilled Orders definition

Unfulfilled Orders means orders for which SELLER CO received payment prior to the Closing Date, but which have not shipped as of the Closing Date, and which BUYER CO will be required to purchase from suppliers and ship to customers with its own funds.
Unfulfilled Orders means the total number of pounds of Product (i) actually ordered and not cancelled or withdrawn by Buyer or the Buyer Beneficiaries from Seller or its Affiliates in a given period pursuant to the terms of this Agreement, (ii) which was included in the applicable demand forecast for such period pursuant to Section 2.3 herein, and (iii) which was not delivered by or on behalf of Seller or its Affiliates.
Unfulfilled Orders has the meaning given in Clause 22.2(a)(i). In this Agreement, unless the context otherwise requires or the contrary intention appears: a reference to a provision of law is a reference to that provision as extended, applied, amended or enacted from time to time and includes any subordinate legislation; the singular includes the plural and vice versa;

Examples of Unfulfilled Orders in a sentence

  • The Adjusted Purchase Price shall be calculated by subtracting from the Purchase Price the wholesale value (as determined by SELLER CO’s suppliers) of any Unfulfilled Orders existing as of the Closing Date.

  • As soon as practicable after the execution of this Agreement, Mosb▇ ▇▇▇ll provide Buyer with a list of any orders of the Products that have not been shipped for fulfillment by the Buyer (the "Unfulfilled Orders").

  • Except as specifically set forth in Section 4.3 below, in the event of conflict between forecasted quantities, Seller’s Revised Demand Forecast shall control for purposes of calculating Unfulfilled Orders.

  • If Soy Labs shall notify Reliv that it does not intend to fulfill any Unfulfilled Orders, the amount which Reliv shall have paid to Soy Labs with respect to such Unfulfilled Orders shall be credited to Reliv and deducted from the amount payable by Reliv to Soy Labs at the Closing of the Technology License Agreement.
