Undisputed Specified Liability definition

Undisputed Specified Liability has the meaning set forth in Section 2.2(a)(ii).
Undisputed Specified Liability means a Specified Liability to the extent that the applicable Seller Company has not delivered a written notice or claim to the Person to whom such Seller Company is liable or obligated asserting that the amount of such Specified Liability is other than the amount set forth on Schedule 2.2(a)(ii);

  • Each Specified Liability shall be deemed to be an Undisputed Specified Liability for all purposes of this Agreement unless prior to the First Closing the Seller Companies provide the Purchasers with written evidence to the contrary, in which case the Purchasers in their sole discretion may elect to assume or not assume such disputed Specified Liability.
