The Port Authority may, in its discretion, elect to deduct the Underpayment Amount due from the Contractor in accordance with the provisions of this Section from any subsequent payment payable to the Contractor under this Contract plus an amount equal to any payroll and associated taxes which would have been paid on the Underpayment Amount from any subsequent payment payable to the Contractor under this Contract.
If the Company incurs an Imputed Underpayment Amount, the Board of Managers shall determine in its reasonable discretion the portion of such Imputed Underpayment Amount attributable to each Member or former Member and such attributable amount shall be treated as a Withholding Payment with respect to such Member or former Member.
Any Imputed Underpayment Amount that is properly allocable to an assignor or transferor of an interest in the Partnership as determined by the General Partner in its sole discretion shall be treated as a withholding obligation or other tax payment with respect to both such former Partner and the applicable assignee or transferee.
