Underlying Manager hereby accepts such appointment and agrees to furnish the services set forth for the compensation herein provided.

Underlying Manager has adopted a written code of ethics complying with the requirements of Rule 17j-1 under the 1940 Act and will provide Adviser and the Fund with a copy of such code.
