Unconditional Guarantee definition

Unconditional Guarantee is defined in Section 15.1.
Unconditional Guarantee means an undertaking by a guarantor to pay or fulfill the obligation on failure of the principal obligor to fulfill its contractual obligations. An unconditional guarantee shall contain the following provisions:

  • All parties hereto recognize and agree that, except for any right of contribution arising pursuant to this Section 15.12, each Subsidiary Guarantor who makes any payment in respect of the Guaranteed Obligations shall have no right of contribution or subrogation against any other Subsidiary Guarantor in respect of such payment until after all Guaranteed Obligations and any other amounts payable under this Unconditional Guarantee are paid in full in immediately available funds.
