Certain Event definition

Certain Event means any one or ------------- more of the following:
Certain Event means termination for "Cause" (as hereinafter defined), Total and Permanent Disability (as hereinafter defined), or death.

Examples of Certain Event in a sentence

  • The Company shall notify the Investor in writing immediately upon the occurrence of any such Certain Event (without regard to any grace or cure period specified therein).

  • Notwithstanding anything herein to the contrary, unless earlier converted/repaid pursuant to Section 3 above, subject to the Company’s obligations towards Silicon Valley Bank, the Investment Amount shall immediately become due and payable in cash by the Company upon an occurrence of a Certain Event (as defined below).

  • Notwithstanding anything herein to the contrary, unless earlier converted pursuant to Section 3 above, solely upon the occurrence of a Certain Event (as defined below), the Company shall, unless otherwise directed by the Investor, be required to pay to the Investor an amount equal the entire Investment Amount, in cash, without any interest.

  • Notwithstanding anything herein to the contrary, unless earlier converted pursuant to the terms of this Agreement, solely upon the occurrence of a Certain Event (as defined below), the Company shall, unless otherwise directed by the Investor, be required to pay to the Investor an amount equal the entire Advance Investment Amount, in cash, without any interest.

  • Notwithstanding anything herein to the contrary, unless earlier converted pursuant to Section ‎3 above, solely upon the occurrence of a Certain Event, the Company shall, unless otherwise directed by the Majority Investors, be required to pay to each Investor an amount equal the entire Investment Amount of such Investor, in cash.

  • The Company shall notify the Investors in writing immediately upon the occurrence of any such Certain Event (without regard to any grace or cure period specified therein).

  • The Investor’s right to payment under this Section 5 shall be in preference and prior to the distribution to any other shareholder of the Company but subordinated to any debt or payment obligations to any creditors of the Company in any such Certain Event.

  • Upon the occurrence of any Certain Event (as defined below), the Seller may accelerate the purchase obligations of the Buyer hereunder to a date not less than 30 days nor more than 60 days after the Seller receives notice of the occurrence of a Certain Event (the "Occurrence Date").

  • Payment for such redeemed shares shall be made by the Corporation within two Business Days following the Certain Event Mandatory Redemption Date.

  • On the Certain Event Mandatory Redemption Date, the Corporation shall redeem, senior to any Junior Securities, the Series A Preferred Shares to be redeemed to the extent of the funds of the Corporation legally available under the BCA therefor with respect to such Warrant Trigger Event or Significant Transaction Event.
