Unblocking License definition

Unblocking License means a [***] license under [***] for the sole purpose of and solely to the extent necessary to [***] as applicable, but expressly excluding (a) any rights to any [***].
Unblocking License has the meaning set forth in Section 1.3.
Unblocking License means the Seller Unblocking License or the Purchaser Unblocking License, as applicable.

Examples of Unblocking License in a sentence

  • Ionis may grant sublicenses of any rights granted by Metagenomi under Section 3.1.3(a) (Unblocking License Grant) through multiple tiers to any of its Affiliates or to one or more Sublicensees to which Ionis grants a license to [***].

  • The term of this Unblocking License shall be co-extensive with the term of the corresponding licenses granted above.

  • If Endocyte’s exercise of the licenses granted under this Agreement would infringe a claim of any other Patent Rights that are Controlled by any Affiliate of ABX, including any direct or indirect parent of ABX, ABX shall use its best efforts to cause such Affiliate to grant to Endocyte during the Term an Unblocking License.

  • If Genentech terminates this Agreement pursuant to this Section 14.2, Genentech shall grant, and hereby grants to BicycleTx and its Affiliates, as applicable, an Unblocking License for the applicable Terminated Target(s), and Section 14.6 shall apply.

  • Following such meeting, if Geron determines in its reasonable discretion to seek to obtain such a license (which may be non-exclusive) under such Existing Blocking Third Party Patent Right from the relevant Third Party, with the right to sublicense to ▇▇▇▇▇▇▇, and its Affiliates and sublicensees and subcontractors (an “Unblocking License Agreement”), Geron shall make reasonable, good-faith efforts to obtain such an Unblocking License Agreement.

  • Geron shall be solely responsible for any license payments (including any fees, milestones, or royalties) due to a Third Party under any Unblocking License Agreement.

  • Following any Target Substitution, Genentech shall grant, and hereby does grant, effective upon the applicable Target Acceptance Date for the new Modulator Target, to BicycleTx and its Affiliates, as applicable, an Unblocking License for the applicable Terminated Target.

Related to Unblocking License

  • Gaming License means any license, permit, franchise or other authorization from any governmental authority required on the date of this Indenture or at any time thereafter to own, lease, operate or otherwise conduct the gaming business of the Company and its Subsidiaries, including all licenses granted under Gaming Laws and other Legal Requirements.
