Unauthorized Recipient definition

Unauthorized Recipient means any person who receives unauthorized access to the Global Index Feed Data from Subscriber.

  • If an Unauthorized Recipient does so obtain Market Data, Customer shall use its best efforts to ascertain the source and manner of acquisition, shall fully and promptly brief NYSE, and shall promptly pay the applicable amounts described in Paragraph 10.

  • If Customer has paid all amounts due in respect of any Unauthorized Recipient (i) Customer becomes subrogated to all rights of the Authorizing SROs to recover amounts from the Unauthorized Recipient and (ii) NYSE or AMEX, as appropriate, will return to Customer any amounts subsequently received from the Unauthorized Recipient, less any associated collection and administrative expenses.

  • As to any Type of Market Data, an "Unauthorized Recipient" is any person other than a Data Recipient, Customer Affiliate or Service Facilitator in its authorized access to that Type of Market Data.

  • If Customer has paid all amounts due in respect of any Unauthorized Recipient (i) Customer becomes subrogated to all rights of the Authorizing SROs to recover amounts from the Unauthorized Recipient and (ii) NYSE will return to Customer any amounts subsequently received from the Unauthorized Recipient, less any associated collection and administrative expenses.

  • SUBROGATION AND RETURNS - If Customer has paid all amounts due in respect of any Unauthorized Recipient (i) Customer becomes subrogated to all rights of the Authorizing SROs to recover amounts from the Unauthorized Recipient and (ii) NYSE will return to Customer any amounts subsequently received from the Unauthorized Recipient, less any associated collection and administrative expenses.

  • If Subscriber has paid all amounts due in respect of any Unauthorized Recipient, ICE Data will return to Subscriber any amounts subsequently received from the Unauthorized Recipient, less any associated collection and administrative expenses.

  • PREVENTION AND DISCOVERY - Customer shall use best efforts to ensure that no Unauthorized Recipient obtains Global Index Feed Data from Customer or from equipment and software that Customer uses for the Subscriber Services.

  • If an Unauthorized Recipient does obtain Global Index Feed Data, Customer shall use its best efforts to ascertain the source and manner of acquisition, shall fully and promptly brief ICE Data, and shall promptly pay the applicable amounts described in Section 11.

  • If Customer has paid all amounts due in respect of any Unauthorized Recipient, ICE Data will return to Customer any amounts subsequently received from the Unauthorized Recipient, less any associated collection and administrative expenses.

  • Customer becomes subrogated to all rights of the Authorizing SROs to recover amounts from the Unauthorized Recipient and (ii) NYSE will return to Customer any amounts subsequently received from the Unauthorized Recipient, less any associated collection and administrative expenses.

Related to Unauthorized Recipient

  • Authorized Recipient means (1) the Shareholder of Record, or (2) any other Officially Designated person to whom redemption proceeds may be sent.

  • Unauthorized insurer means an insurance institution that has not been granted a certificate of authority by the commissioner to transact the business of insurance in this state."

  • Customer Personal Data means the personal data contained within the Customer Data.

  • Accenture Personal Data means personal data owned, licensed, or otherwise controlled or processed by Accenture including personal data processed by Accenture on behalf of its clients. “Accenture Data” means all information, data and intellectual property of Accenture or its clients or other suppliers, collected, stored, hosted, processed, received and/or generated by Supplier in connection with providing the Deliverables to Accenture, including Accenture Personal Data.

For the term of this Contract, Contractor will maintain an ISO 27001 Certification for any and all Cloud Services provided under this Contract.
