Unauthorized Purpose definition

Unauthorized Purpose means any purpose other than the purpose stated in section 2.
Unauthorized Purpose as used herein includes: (i) obtaining access to or use of Services with intent to avoid payment, in whole or in part, of charges due under this Agreement, (ii) access to, use of, alteration of, or destruction of the data files, programs, procedures, or information of Customer or any other QUALCOMM customer, (iii) use of the Equipment or Services with the intent to reverse engineer or clone the OmniTRACS System, (iv) use of the Software in such a manner to void the Software license provided in Section 2 or (v) use of the Services or Software furnished pursuant to this Agreement for any purpose or in any manner which, directly or indirectly, violates the law or aids any unlawful act or undertaking. QUALCOMM may, without notice to Customer, and without liability to QUALCOMM, discontinue the Service in response to a request from a government agency, including but not limited to the FCC. For other QUALCOMM actions to discontinue Service to prevent use for an Unauthorized Purpose, QUALCOMM will use best efforts to provide Customer twelve (12) hours notification prior to discontinuing the Service. QUALCOMM shall restore the Service as soon as the Service can be provided without undue risk of use for an Unauthorized Purpose. Customer shall not be credited message service charges for Service interruptions resulting from QUALCOMM's actions under this Section.
Unauthorized Purpose means to: (i) create derivative works of, modify, decompile, disassemble, or otherwise reverse engineer or attempt to discover any source code or underlying ideas of any component of the Subscription Services; (ii) circumvent or disable any security or features of the Subscription Services, or attempt to probe, scan, gain access to, or test the vulnerability of OnSolve’s network and/or Subscription Services; (iii) sublicense, assign, transfer, distribute, rent or sell use or access to the Subscription Services (in whole or in part), whether as a service bureau or otherwise, or otherwise transfer rights in or to the Subscription Services; (iv) remove, alter or obscure any product identification, copyright or proprietary notices (v) upload or provide any Content, information or materials that are defamatory, offensive, abusive, obscene, of menacing character, or that violate privacy or intellectual property rights; (vi) use the Subscription Services to threaten, defame, bully, harass, or harm persons or their property; (vii) send, store or distribute any malware, viruses or any other routines, code or programs with the intent or effect of damaging, destroying, disrupting, monitoring or otherwise impairing OnSolve’s, or any other person’s or entity’s, network, computer system, or other equipment, or any third party data contained therein; (viii) access the Subscription Services or use the Documentation in order to build a similar product or competitive product; (ix) adopt, use, register, or apply for registration of, whether as a corporate name, trademark, service ▇▇▇▇ or other indication of origin, any OnSolve trademark, service ▇▇▇▇ or trade name, or any word or ▇▇▇▇ confusingly similar to them in any jurisdiction; (xi) contest, in any court or other jurisdiction, the validity of any of the OnSolve property; or (xii) use with intent to avoid payment of charges due under these Terms and Conditions.

Examples of Unauthorized Purpose in a sentence

  • Customer shall not use, or attempt to use, the Equipment or Services for any Unauthorized Purpose or in such a manner as to interfere with use by other customers of the OmniTRACS System.

  • For other QUALCOMM actions to discontinue Service to prevent use for an Unauthorized Purpose, QUALCOMM will use best efforts to provide Customer twelve (12) hours notification prior to discontinuing the Service.

  • Customer shall not use the Service for any Unauthorized Purpose or in such a manner as to interfere with use by other customers of the System.

  • Customer shall not, and shall not permit any third party under its control to, use the Subscription Services for an Unauthorized Purpose.

  • Prime Technologies may, without liability, discontinue the Service to prevent use for an Unauthorized Purpose or in response to an order from a regulatory or a government agency.

  • If Customer uses the Subscription Services for an Unauthorized Purpose, OnSolve may take any and all actions as it reasonably deems appropriate, from the issuance of a warning and involvement of government authorities.

  • In the event Customer uses the Sandbox Environment for an Unauthorized Purpose, Omnitracs may take any and all actions, from the issuance of a warning to limiting, suspending, or terminating your right to use the Sandbox Environment and involvement of government authorities Omnitracs’ deems necessary or appropriate.

Unauthorized Purpose means: (i) use with intent to avoid payment of charges due under these Terms and Conditions; (ii) access to, use of, alteration of, or destruction of RTI data files, programs, procedures; (iii) use with the intent to modify, decompile, or reverse engineer or clone the Products, Software, Product Support, or any compo- nent thereof; (iv) use for any illegal, unlawful or fraudulent purpose, or for any other objectionable purpose as determined by Supplier; (v) resell, rent, lease, lend or en- cumber any Products, Software, Product Support or any component thereof; (vi) re- move, modify or take any other action which would obscure the patent, copyright or trademark notices contained in or on the Products, Software, Product Support or any component thereof; (vii) adopt, use, register, or apply for registration of, whether as a corporate name, trademark, service mark or other indication of origin, any Supplier trademark, service mark or trade name, or any word or mark confusingly similar to them in any jurisdiction; or (viii) contest, in any court or other jurisdiction, the validity of any of the Supplier’s property.

  • Authorized Purpose means the specific purpose or purposes described in the Base Contract for Contractor to fulfill its obligations under the Base Contract, or any other purpose expressly authorized by HHS in writing in advance.
