UK MRT definition
UK MRT means an individual who, [at any point in _____][as applicable to the Award], was classified by the Firm as a Material Risk Taker (including UK Risk Managers and UK PRA Senior Managers) in accordance with the remuneration codes applicable to dual-regulated UK firms.
UK MRT means an employee who has been designated by the Company as a “material risk taker” in accordance with the European Banking Authority Regulatory Technical Standards for identifying Material Risk Takers (the “EBA MRT Standards”) and the relevant rules of the Prudential Regulation Authority and the Financial Conduct Authority, (2) an “EU MRT” means an employee who has been designated by the Company as a “material risk taker” in accordance with the EBA MRT Standards and applicable country rules within the EU, and (3) a “MRT” means an employee who has been designated by the Company as either a U.K. MRT or an EU MRT.
UK MRT means an employee who has been designated by the Company as a “material risk taker” in accordance with the relevant rules of the Prudential Regulation Authority and the Financial Conduct Authority, (2) a “CEP MRT” means an employee who has been designated by the Company as a “material risk taker” in accordance with the EBA MRT Standards and applicable country rules within the EU or are regulated by the European Central Bank and the Central Bank of Ireland Joint Supervisory Team, (3) a “BaFin MRT” means an employee who has been designated by the Company as a “material risk taker” in accordance with the relevant rules of the Bundesanstalt für Finanzdienstleistungsaufsicht (or “Bafin”), and (4) a “MRT” means an employee who has been designated by the Company as a U.K. MRT, a CEP MRT or a BaFin MRT.

If you are a GSAMI MRT, GSAMI Senior Management or UK MRT, Paragraphs (a), (b) and (c) of this Appendix apply to all RSUs in your Award, but Paragraph (d) applies only to your Base RSUs [and Additional RSUs, as applicable], but not any Supplemental RSUs. Paragraph (e) of this Appendix contains certain definitions not otherwise contained in the Award Agreement.
