On each Closing Date, all Instruments, Chattel Paper, UCC Securities or other documents, including, without limitation, any SUBI Certificates, representing or evidencing Collateral (to the extent not held by the Servicer pursuant to the terms of the Servicing Agreement) shall be delivered to and held by or on behalf of the Indenture Trustee on behalf of the Secured Parties pursuant hereto all in form and substance reasonably necessary to protect the pledge of such Collateral.
