two Authorised Signatories definition

two Authorised Signatories means any two signatories authorised to act on behalf of the Issuer;
two Authorised Signatories means any two signatories authorised to act on behalf of the Issuer; "Winding-Up" means:
two Authorised Signatories means any two of the Directors of the Issuer or any other person or persons notified to the Trustee by any such Director or company secretary of the Issuer as being for the time being authorised to sign (whether alone or with another person or other persons) on behalf of the Issuer and so as to bind it and “Authorised Signatory” means any one of them.

Examples of two Authorised Signatories in a sentence

  • All such instructions given by the Trustee to the Custodian shall be given in writing and signed by two Authorised Signatories of the Trustee.

  • The Trust Deed provides that if the Trustee, in the exercise of its functions, requires to be satisfied as to any fact (including, without limitation, as to whether a Conversion Trigger Event has occurred), it may call for and accept as sufficient evidence of that fact a certificate signed by two Authorised Signatories of the Company as to that fact.

  • All instructions given by the Trustee to the Custodian shall be given in writing and signed by two Authorised Signatories of the Trustee.

  • The Trustee shall be entitled to rely on any certificate of two Authorised Signatories of the Issuer where the Issuer procures the delivery of the same pursuant to its obligations to do so under the Conditions or this Trust Deed and such certificate shall be binding on the Issuer, the Trustee and the Noteholders.

  • The Global Certificates and the Definitive Certificates, if issued, will be signed manually by two Authorised Signatories and will be authenticated manually by or on behalf of the Registrar.

  • A report by two Authorised Signatories (as defined in the Agency Agreement) of Castellum that in their opinion a Subsidiary of Castellum is or is not or was or was not at any particular time or throughout any specified period a Material Subsidiary, shall, in the absence of manifest error, be conclusive and binding on all parties.

  • For the purposes of this Clause 18(F), the Trustee shall be entitled to rely solely on a certificate of two Authorised Signatories to determine whether the conditions set forth at sub-clauses (i) and (ii) in this Clause 18(F) have been satisfied.

  • For so long as the Notes remain outstanding, the Issuer will deliver a certificate to the Trustee on each Reporting Date signed by two Authorised Signatories (as defined in the Trust Deed) of the Issuer, certifying that the Issuer is and has been in compliance with, and there has been no breach of, the undertakings set out in Condition 4.2 at all times since the last such certificate was delivered to the Trustee or, if none, since 20 December 2024.
