True-Up Process definition

True-Up Process means the true-up process referred to in Section 8.4.
True-Up Process means as described in Section 4.1.E.

  • All invoices issued and payments made during the years Y-2 and Y-1, the implementation of the Supplier's Curtailment procedures during such Y-2 and Y-1 years, and all meter readings registered during such Y-2 and Y-1 year are deemed to be final and correct and cannot be further challenged, other than as part of the Annual True-Up Process, if a Party fails to provide notice of the exercise of its right to conduct the aforementioned audit for the relevant years Y-2 and Y-1 during the calendar year Y.

  • The Parties will discuss an implementation of the True-Up Process.

  • In the event that the IPUC does not approve the Agreement or approves it upon conditions that are unacceptable to Avista or Potlatch in their sole discretion, the Agreement shall terminate upon the date of such order, subject to the True-Up Process described below.

True-Up Process. That process described in Section 3(f) for settling obligations incurred under this Agreement in the event of termination.
True-Up Process means, upon the expiration of the [final]6 [Inventory Inspection Period] and following the Closing Date under the Pole Agreement, the execution of the True-Up Amendment by Lessee and Lessor to adjust the Equipment under this Agreement to add, delete or modify references to be consistent with the property, equipment and/or streetlights acquired under the Pole Agreement during and as a result of the [final]7 [Inventory Inspection Period].
