Trigger Offer definition

Trigger Offer means, as the case may be, a Vendor Notice in accordance with Section 14.3(a), an Indirect Transfer in accordance with Section 14.4(a) or a Notice to Acquire in accordance with Section 15.3(d).
Trigger Offer means the Trigger Offer as defined in Paragraph 36(d)

Examples of Trigger Offer in a sentence

  • The Sale Procedure shall apply in respect of such Vendor Notice and such Vendor Notice shall constitute a Trigger Offer.

  • In the event that all of the Transfer Approvals have not been obtained prior to the Transfer Deadline Date, the Triggering Member shall, if applicable, have the right to complete the sale of its Offered Interest pursuant to terms of the relevant Trigger Offer to a Third Party on the basis described in Section 14.3(b).

  • The sale to the Proposed Purchaser of the Shares (or part thereof) held by the Target Shareholder under the Trigger Offer and the Shares held by those other Shareholders that have accepted the Tag-Along Offer must be completed by the relevant parties concurrently and in accordance with the terms of the Trigger Offer and the Tag-Along Offer.

  • The Proposed Purchaser must deliver the Tag-Along Offer to all other Parties, and it must be accompanied by a copy of the Trigger Offer.

  • If at the expiration of such thirty (30) day period Landlord shall have failed to exercise the such option, Tenant may sell the Expansion Parcel to such third party purchaser upon the terms set forth in the Trigger Offer.

  • At such closing, Tenant shall convey the Expansion Parcel to Landlord in accordance with, and Landlord shall pay to Tenant the purchase price and other consideration set forth in, the Trigger Offer.

  • Any acceptance of such Trigger Offer by Tenant shall be conditioned upon Landlord's failure to exercise its right under this Paragraph 36(d).

  • Net Proceeds Offer Trigger Date has the meaning set forth in Section 4.16.

  • Takeover Offer means an offer in accordance with Section 3.6 of the Transaction Agreement for the entire issued share capital of Allergan (other than any Allergan Shares beneficially owned by AbbVie or any member of the AbbVie Group (if any) and any Allergan Shares held by any member of the Allergan Group) including any amendment or revision thereto pursuant to the Transaction Agreement, the full terms of which would be set out in the Takeover Offer Document or (as the case may be) any revised offer documents.

  • Tender Offer means a takeover offer, tender offer, exchange offer, solicitation, proposal or other event by any entity or person that results in such entity or person purchasing, or otherwise obtaining or having the right to obtain, by conversion or other means, greater than 10 per cent. and less than 100 per cent. of the outstanding voting shares of the Share Company, as determined by the Determination Agent, based upon the making of filings with governmental or self-regulatory agencies or such other information as the Determination Agent deems relevant.

  • Tender Offer Date means, in respect of a Tender Offer, the date on which the relevant Reference Assets in the amount of the applicable percentage threshold are actually purchased or otherwise obtained (as determined by the Calculation Agent).

  • Triggering Event means any Section 11(a)(ii) Event or any Section 13 Event.
