The Company shall issue such Ordinary Shares pro rata in proportion to the number of Class B Shares held by each of Trident and the Trident Funds immediately prior to such exchange.
The Trident Funds shall acquire no more than 7% of Trident's Class B Shares unless (a) the Trident Funds are required to acquire a larger share of Trident's Class B Shares in accordance with the terms of their partnership agreements and (b) consent to acquire such larger share has been obtained from the other parties hereto, which consent shall not be unreasonably withheld.

In exchange for such Class B Shares, the Company shall issue and deliver to Trident and the Trident Funds at the Recapitalization Time certificates representing 2,082,236 ordinary shares, par value $1.00 per share, of the Company (the "Ordinary Shares").
