TRC Transaction definition

TRC Transaction means the assignment by the A Borrowers to TRC (or an alternate indemnifier acceptable to the Lenders) of certain of the A Borrowers' environmental remediation liabilities (contingent or otherwise) with respect to the Facility located in Newfield, New Jersey, which transaction is approved by the Required Lenders in their sole discretion and is effected pursuant to documentation that is in form and substance satisfactory to the Lenders.

  • The proceeds of the Term Loan A (as hereinafter defined) shall be used for general working capital purposes of the A Borrowers, to provide credit support for certain existing letters of credit issued prior to the date hereof and for the issuance of new letters of credit, to make payments in connection with the TRC Transaction (as hereinafter defined) and to pay fees and expenses related to this Agreement.
