Trask or the "Company") pursuant to Article III of the Agreement and Plan of Merger entered into as of June ___, 2003 by and among Phoenix Footwear Group, Inc., a Delaware corporation, PFG Acquisition, Inc., a Montana corporation, and H.S. Trask. Section numbers herein correspond to section numbers in the Merger Agreement. Disclosure as to one section shall be deemed to be a disclosure as to all relevant sections. Capitalized terms used and not otherwise defined herein have the meanings assigned to them in the Merger Agreement.

Trask Stockholders, and, except as so provided, all provisions hereof shall be solely between the parties to this Agreement.
