Unless preempted by or controlled by Federal Transportation Laws and Regulations this Agreement shall be governed by and construed in accordance with the laws of the State of Ohio.

C&S shall cause its contract carriers to, comply with, and to ensure compliance with, all applicable material federal, state and local laws and regulations of the respective regulatory bodies having jurisdiction over the rendering of the Transportation Services (collectively, the “Transportation Laws”) including, but not limited to, such Transportation Laws governing the ownership, operation and use of vehicles to be used by C&S in connection with its performance hereunder.
Each driver shall complete a pre-trip inspection as prescribed in Section EDB 919-05 Ohio Pupil Transportation Laws and Regulations.
Such compliance shall be in accordance with the provisions of Section 3.7, Compliance With Transportation Laws, and Seller shall indemnify Buyer in accordance with Section 12.11, Indemnity, with regard to Seller’s and/or its subcontractor’s(s’) performance or failure to perform with regard to its obligations hereunder.
