Transmittal Materials definition

Transmittal Materials has the meaning set forth in Section 2.1(g) of this Agreement.
Transmittal Materials means, with respect to any Common Shares, (i) the Certificate(s), if any, representing such Common Shares (or the affidavit contemplated by Section 3.2(a) in lieu of such Certificate(s), if any) and (ii) a properly completed and duly executed Letter of Transmittal in respect of such Common Shares.
Transmittal Materials has the meaning set forth in Section 3.02(a).

  • Acquiror shall cause the Exchange Agent to use its Best Efforts promptly to notify any person of any defect in Transmittal Materials submitted to the Exchange Agent.

  • The instructions for completion of the Transmittal Materials shall specify that delivery shall be effected, and risk of loss and title to the Certificates shall pass, only upon delivery of the Certificates (or a lost certificate affidavit and/or indemnity bond in a form or forms reasonably acceptable to Acquiror).

  • Promptly following receipt of the Transmittal Materials, the Paying Agent shall forward the Per Share Consideration to each PCCI Stockholder who has properly surrendered the Transmittal Materials to the Paying Agent.

  • In the event that the Transmittal Materials contain an error, are incomplete or are not accompanied by all appropriate Certificates, then the Paying Agent will notify such PCCI Stockholder promptly of the need for further information.

  • As soon as practicable after the Effective Time and the surrender of a Certificate to the Exchange Agent, together with properly completed and executed Transmittal Materials, the Resulting Corporation will use commercially reasonable efforts to cause the Exchange Agent to deliver the Merger Consideration as soon as practicable.

  • Promptly after receipt of the Transmittal Materials, IBG will use commercially reasonable efforts to cause the Exchange Agent to review the Transmittal Materials in order to verify proper completion and execution thereof.

Transmittal Materials means the transmittal materials, in the form attached hereto as Exhibit D, which Parent or its transfer agent will require from those Participating Rights Holders entitled to receive Merger Consideration at the Closing in respect of their shares of Company Preferred Stock.
