Transitional Service means (in respect of services provided to the Target Business) any significant service provided by any part of the Seller Group to the Target Business at Closing which the Target Business cannot immediately provide for itself from its existing resources and at immaterial Cost and (in relation to services provided to the Seller Group) any significant service provided by any part of the Target Business to the Seller Group at Closing which the Seller Group cannot immediately provide for itself from existing resources and at immaterial Cost;

Transitional Service has the meaning given to that term in the Transitional Services Agreement;

• In case of conflict between the terms and conditions of this Agreement and any Appendix, the terms and conditions of such Appendix shall control and govern as it relates to the Transitional Service to which those terms and conditions apply.

• The Administrator shall distribute proxy materials on behalf of Separate Accounts and/or underlying Funds and shall tally proxy votes related to holdings by the Plans; provided that the Administrator shall have to such obligation with respect to Form N-3 until the UIT conversions are complete by PGIM pursuant to the Transitional Service Agreement.

• If any failure or default so specified is not cured within such forty five (45) day period, the Non-Defaulting Party may elect to immediately terminate the affected Transitional Services; provided, however, that if the failure or default relates to a good faith dispute by the Defaulting Party, the Non-Defaulting Party may not terminate any such Transitional Service pending the resolution of such dispute.

• The initial coordinators for each Party for each Transitional Service shall be the individuals named in the description of such Transitional Service in Appendix A or B (the "Service Coordinators").

• St. ▇▇▇▇ Re UK and Platinum Re UK shall agree upon the terms which will govern the provision of the particular Transitional Service to be so provided at the time Platinum Re UK makes such request.

• In the performance of Engineering and Technical Services under this Agreement, Southern shall exercise due care to assure that the Services are provided in a workmanlike manner, and that such Services meet the standards and specifications set forth in the applicable Transitional Service Schedule.

• If the amount to be paid for any Transitional Service is described in APPENDIX A as "cost", the use of the term "cost" means the cost to Provider to provide that Transitional Service to Buyer.

• UtiliCorp shall provide or cause to be provided to Aquila the Services described in the Transitional Service Schedules attached hereto.
