Transition Managers definition

Transition Managers means the Organon Transition Manager and the Merck Transition Manager.
Transition Managers means the Enovis Transition Manager and/or the ESAB Transition Manager, as applicable.
Transition Managers shall have the meaning set forth in Section 3.0.b.1 herein.

  • The Company and the Manager acknowledge that the Transition Manager's and the Replacement Manager's ability to provide the services described herein and the Project Services may be impaired by the Manager's refusal or inability to cooperate with the Transition Manager and the Replacement Manager.

  • Without limiting the generality of Section 5.1, during the Term, the Transition Managers shall serve as their respective Party’s primary contact for the other Party to manage and coordinate the provision of the Services and Expense Activities and payment of Service Fees and Expenses provided hereunder and the performance of the Parties’ other obligations hereunder, including any associated exchange of Information and transition of responsibilities related to the Services and Expense Activities.

  • If the Transition Managers are unable to resolve a dispute within five business days, then the Parties will refer the dispute to an executive of each of Vivint Solar and Vivint.
