  • The Transferring Controlling Shareholder shall Transfer the Offered Shares solely to such Proposed Transferee or its Affiliates.

  • If the Transfer Consideration specified in the Sale Offer includes any property other than cash, such Transfer Consideration shall be deemed to be the amount of any cash included in the Transfer Consideration plus the value (as jointly determined by a nationally recognized investment banking firm selected by the Transferring Controlling Shareholder and a nationally recognized investment banking firm selected by the Keytech Shareholders) of such other property included in such Transfer Consideration.

  • The "Pro Rata Portion" of Shares held by the Keytech Shareholders shall be equal to the product of (x) the total number of Closing Shares then owned by the Keytech Shareholders as a group and (y) a fraction, the denominator of which shall be the total number of Shares then owned by the Transferring Controlling Shareholder, and the numerator of which shall be the number of Offered Shares.
