This Agreement shall be binding upon and inure to the benefit of the Company, the Registered Holder, each Transferee Holder and their respective successors and assigns.
In the event of any Transfer of a Certificate by a Holder of one Class to a Holder of the other Class in accordance with Sections 5.01 or 5.02, the Certificate to be Transferred shall be presented to the AK for cancellation and a Certificate in respect of such other Class shall be issued to the Transferee Holder in accordance with the Conditions of Administration.
For the avoidance of doubt, unless otherwise provided under this Warrant, the terms and conditions hereunder shall be applicable to the Transferee Holder after the transfer and assignment pursuant to this Section 12.

Before this Warrant becomes transferable or assignable, the Holder shall not approach or negotiate with any potential Transferee Holder (as defined below) in the public market for the transfer or assignment of this Warrant or any rights hereunder.
No transfer may be effected unless the Note is surrendered to the Registrar and either (i) the Registrar reissues the surrendered Note to the Transferee Holder or (ii) the Registrar issues a new Note to the Transferee Holder.
All notices, demands, elections options or requests (however characterized or described) required or authorized hereunder shall be deemed sufficient if made in writing and sent by registered or certified mail, return receipt requested and postage prepaid, or by tested telex, telegram or cable to the principal office of the addressee, and if to the Registered Holder or Transferee Holder of an Option Certificate, at the address of such holder as set forth an the books maintained by the Company.
