Transfer Know-How definition

Transfer Know-How means the Roche Know-How identified on Appendix B.
Transfer Know-How means any and all technical data and records necessary to enable Connetics to manufacture and sell the Product, market research and information owned or controlled by Roche that is related solely to the Product, API and/or IDP, as identified in Exhibit 1.

Examples of Transfer Know-How in a sentence

  • If Roche identifies any Roche Know-How in the future that should have been included in the Transfer Know-How, then Roche shall provide such Roche Know-How to VIA in a timely manner.

  • Syntex hereby assigns and transfers to Unimed all of Syntex's right, title and interest in and to the Transfer Know-How.

  • To the best of Roche's knowledge, there are no infringements, threats of infringements or asserted or unasserted claims by Roche of infringements or misappropriation of any intellectual property in the Territory with respect to the Product, nor are there any asserted or unasserted claims by Roche contesting or challenging the right, title, or interest of any other person in any of the intellectual property relating to the Product, including the Trademarks, Domain Names, or Transfer Know-How.

  • Within * after the Effective Date, Roche shall transfer to Miikana all of the Transfer Know-How to the extent available.

  • In addition to the coordination process described in Section 3.5, the Parties shall form a technology transfer committee with representatives from each company to facilitate the transfer of the Transfer Know-How.

  • If, after such initial transfer, either Party identifies any such additional Transfer Know-How and Materials that are within the scope of the Licensed IP and in Kiniksa’s Control or that would be within the scope of the Licensed IP if Controlled by ▇▇▇▇▇▇▇ but that are then Controlled by an Affiliate of Kiniksa, ​ then ▇▇▇▇▇▇▇ shall transfer or cause to be transferred such additional Transfer Know-How and Materials to GNE promptly after such identification and notification.

  • Within * after the Effective Date, Roche shall transfer to Miikana the remainder of the Transfer Know-How.

  • Kiniksa shall provide such additional Transfer Know-How and Materials as soon as reasonably practical after coming into ▇▇▇▇▇▇▇’s (or any of its Affiliate’s) Control, either in accordance with the timeline as set forth in the Tech Transfer Plan or in reasonable batches, as agreed by the Parties.

  • It is also understood and agreed that there may be additional Transfer Know-How and Materials that are not yet existing at the time of the initial transfer of Transfer Know-How and Materials as set forth in the Tech Transfer Plan, but are expected to be generated by, or on behalf of, Kiniksa or its Affiliates after the Effective Date and that will constitute Transfer Know-How and Materials.

  • Roche shall transfer to Connetics, at no additional cost to Connetics, such manufacturing technology and Transfer Know-How so as to permit Connetics or another entity to manufacture and test Product and the API and IDP in the Product, and Roche agrees to fully and promptly cooperate with Connetics to facilitate the transition.

Related to Transfer Know-How

  • Licensed Know-How means any and all unpatented and/or non-patentable technical data, documents, materials, samples and other information and know‐how that is Controlled by LICENSOR or any of its Affiliates as of the Effective Date or thereafter during the Term that relates to, or is otherwise reasonably necessary or reasonably useful for, the use, Development, manufacture, or Commercialization of the Product. Licensed Know-How shall not include Licensed Patents.

  • Program Know-How which means any and all Know-How that is created, conceived, discovered, first generated, invented, first made or first reduced to practice, in each case (i) by or on behalf of [***], (ii) by or on behalf of [***] or (iii) by or on behalf of [***], but expressly excluding any Joint Program Know-How.

  • Joint Know-How has the meaning set forth in Section 8.1.2.

  • Licensor Know-How means any and all Know-How that (a) is Controlled by Licensor or any of its Affiliates as of the Effective Date or at any time thereafter during the Term and (b) pertains to the Manufacture, use or sale of Licensed Products, including Research Inventions (other than Research Patents).

  • Licensee Know-How means all Information that is: (a) Controlled by Licensee or its Affiliates as of the Effective Date or during the Term that is not publicly known, even though parts thereof may be known, and (b) necessary to develop, make, have made, use, sell, offer to sell, have sold, import or export the Product. “Licensee Know-How” does not include Licensee Patent Rights.
