Transfer Cost definition

Transfer Cost which shall mean a m▇▇▇-up amount equal to five percent (5%) of the Catania Cost, plus actual freight, insurance and any other direct delivery costs incurred by Distributor from Distributor’s Plant to/from its relevant Affiliate’s (or Supplier’s Designee’s) premises for subsequent sale of the Product to customers, provided however that the m▇▇▇-up amount shall be twenty percent (20%) of the Catania Cost where sale to an Affiliate or Supplier Designee occurs between the period beginning six (6) months after the Effective Date until Closing;
Transfer Cost is defined as actual cost incurred by the Company to transfer the Technology to Intel, and is limited to engineering man-hours and other actual payroll costs, actual travel and actual incidental expenses. Additionally, Company agrees to grant comparable rights to any subsequent manufacturing improvements and/or value engineering made by Company for Product previously transferred. Except as provided in Section 4(c) above, Intel shall not provide Company Technology to any third party semiconductor packager.
Transfer Cost means an amount equivalent to the lesser of (i) a fair market valued competitive fixed per unit price at which CYBERCARE, INTERNATIONAL or any third party vendor, as applicable, sells each System Unit or Caregiver Terminal or (ii) the direct per unit cost associated with the manufacture (without allocation of any indirect expenses) of the System Units or Caregiver Terminals plus twenty percent (20%). The calculation and determination of the Transfer Cost applicable to this Agreement shall be reviewed by the parties no less frequently than on an annual basis.

Transfer Cost means the amount Danka pays to NPS for The Product(s) hereunder.
Transfer Cost means that portion of the license fee or other up-front charges that is intended to cover the costs, in terms of engineering and management time, wafer processing costs, assembly, packaging, test and evaluation costs and similar costs, that Ramtron reasonably anticipates incurring in connection with the transfer to the licensee of the licensed technology. The Licensees, acting jointly, shall have the right, upon reasonable notice and during normal business hours, to review and audit the books and records of Ramtron in order to confirm that the amount of such costs is reasonable under the circumstances and bears a reasonable relationship to the level of effort required of Ramtron in transferring the licensed technology to the relevant licensee. The Parties acknowledge that Ramtron has the right to grant one or more licenses to the Ferroelectric Technology for use with Ferroelectric RF/ID Products to alliance partners who agree to make an investment in Ramtron's fab or to set up a manufacturing joint venture with Ramtron in lieu of payment to Ramtron of a license fee. The Parties further acknowledge that, in one such case, Ramtron shall be entitled to accept such a commitment in lieu of a license fee without any obligation to compensate either Licensee for the foregone license fee. In such case, Ramtron agrees to target a ** royalty, to be shared equally, for all Ferroelectric RF/ID Products sold by or for such party, whether manufactured by such party, by Ramtron or by any such joint venture. Related to Transfer Cost

  • Trip Cost means the dollar amount of Trip payments or deposits paid by the Insured prior the Insured’s Trip Departure Date and shown on any required application which is subject to cancellation penalties or restrictions.
